Village Stone; Terms & Conditions of Trade

1. Definitions
1.1 “Village Stone”, “we”, “us”, “our” refers to Village Stone, including its successors, assigns, and authorised agents.
1.2 “You”, “Buyer” means the purchaser of any products from our website.
1.3 “Goods” refers to stone veneer products and any other items supplied by Village Stone.
1.4 “Services” includes any services provided by Village Stone, including advice or support.
1.5 “Price” refers to the amount payable for any Goods or Services, excluding GST where applicable.
2. Acceptance of Terms
2.1 By placing an order on our website, you agree to these Terms.
2.2 Amendments to these Terms must be agreed to in writing by Village Stone.
2.3 If you are purchasing on behalf of a company, you confirm that you are authorised to do so.
2.4 You must notify us in writing within 14 days of any changes to your contact, billing, or delivery details.
3. Pricing & Payment
3.1 Full payment is required before dispatch unless otherwise agreed in writing.
3.2 We accept Visa, Mastercard, debit cards, and other approved payment methods through Xero.
3.3 Credit card payments incur a surcharge of 2.70% in Xero invoicing
4. Shipping & Delivery
4.1 Orders will be delivered to the address provided on your order/invoice.
4.2 Delivery fees are calculated at checkout and may vary by region.
4.3 We use Toll New Zealand for all deliveries. Orders can be shipped directly to the Buyer’s nominated address or to the closest Toll depot.
4.4 If shipped to a depot, it is at the depot’s discretion whether they hold stock for collection. Buyers should contact the depot for collection arrangements.
4.5 You must ensure someone is available to accept delivery at the nominated address, or that there is a safe place for the courier to leave your order.
4.6 Village Stone is not responsible for delays caused by third parties or circumstances beyond our control.
4.7 Slight discrepancies in quantity (up to 10%) may occur, and any necessary adjustments will be made accordingly.
5. Risk & Title
5.1 Risk in the Goods passes to you upon delivery.
5.2 Ownership of Goods remains with Village Stone until full payment is received.
6. Installation & Use
6.1 All Goods must be installed in accordance with Village Stone’s installation guidelines and all relevant New Zealand building standards and codes.
6.2 Village Stone is not responsible for damage, failure, or loss resulting from incorrect installation, misuse, modification, or failure to follow professional advice.
6.3 It is the Buyer’s responsibility to ensure the Goods are suitable for their intended purpose and comply with all local building regulations and consent requirements.
7. Product Variations
7.1 Village Stone products are designed to replicate natural stone characteristics. Variations in colour, texture, shape, and finish may occur between batches.
7.2 Samples, website images, and display materials are indicative only and may not exactly match the Goods supplied.
7.3 Minor variations do not constitute a defect and are not grounds for return or refund.
8. Returns & Defects
8.1 You must inspect your order upon delivery and notify us of any issues within seven (14) days by emailing Hello@villagestone.co.nz.
8.2 If we confirm a fault, we may offer to replace or refund the affected Goods.
8.3 No returns are accepted without prior written approval from Village Stone.
9. Manufacturer’s Warranty
9.1 Village Stone provides a 10 year limited product warranty on its decorative veneer products, providing the installation was performed according to the Village Stone appraisal and specifications.
9.2 This 10 year limited product warranty does not cover installation or any damage due to incorrect installation, accident, misuse, abuse or negligence including9.3 Settlement of the building or other walls or foundation movement.
9.4 Discolouration or damage due to contact with chemicals, paint, and staining.
9.5 Water blasting Not following the management and maintenance requirements.
The Village Stone product warranty can be provided upon request, through installers, after all relevant documentation from the installer has been received by Village Stone.
Clients are advised to request installation warranties from their installation contractor via a producer statement.
10. Liability
10.1 Village Stone is not liable for indirect or consequential loss, including loss of income, project delays, or loss of profits.
10.2 Our total liability under these Terms is limited to the Price paid for the relevant Goods.
11. Order Cancellations
11.1 You may cancel your order prior to manufacturing by contacting us at Hello@villagestone.co.nz.
11.2 Once an order has been dispatched, it cannot be cancelled.
11.3 Due to the nature of building materials and batch production, change-of-mind returns are not accepted.
11.4 Refunds will only be considered for faulty or damaged products and must be reported within seven (7) days of delivery.
11.5 All refund or credit requests are subject to review and approval at the sole discretion of Village Stone.
12. Force Majeure
12.1 Village Stone is not liable for any failure or delay in performing its obligations where such failure or delay is due to events beyond our reasonable control, including but not limited to supply chain disruption, freight delays, natural disasters, labour shortages, strikes, or government restrictions.
13. Intellectual Property
13.1 All content on this website, including product names, designs, text, graphics, logos, photographs, and other materials, remains the property of Village Stone.
13.2 No content may be copied, reproduced, distributed, or used without prior written consent from Village Stone.
14. Consumer Guarantees Act 1993
14.1 If you are purchasing Goods for business purposes, you agree that the Consumer Guarantees Act 1993 does not apply.
14.2 If you are purchasing for personal use, your rights under the Act remain fully protected.
15. Privacy
15.1 We collect personal information to fulfil orders, communicate with you, and improve our services.
15.2 Your information may be shared with third-party service providers such as payment processors or couriers.
15.3 You may request access to or correction of your personal information by contacting Hello@villagestone.co.nz.
16. Governing Law
16.1 These Terms are governed by the laws of New Zealand.
16.2 Any disputes arising under these Terms will be dealt with in the New Zealand courts.
16.3 If any clause in these Terms is found to be invalid, the remainder will continue to be enforceable.
17. Changes to Terms
17.1 We may update these Terms at any time by publishing a revised version on our website.
17.2 Continued use of our website or placement of further orders implies acceptance of any updates.
18. Product Display on Screen
18.1 We make every effort to display our products accurately on our website. However, colours may appear differently depending on your device’s screen settings and lighting conditions.
18.2 Such variations in colour or appearance do not constitute a fault and will not be considered grounds for return or refund.
